1. About These Terms
These Terms of Service ("Terms") are a legally binding agreement between you and SiteLedger ("we", "us", "our"), governing your access to and use of the SiteLedger web application, mobile progressive web app, and all related services (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.
2. The Service
SiteLedger is a construction site management platform enabling contractors to manage job sites, track subcontractor payments, store photos and documents, and communicate with subcontractors through a payment portal. We reserve the right to modify or discontinue any aspect of the Service at any time with reasonable notice.
3. Account Registration
To use SiteLedger, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and all activity under your account. You must be at least 18 years old to register.
4. Free Trial
SiteLedger offers a 14-day free trial to new users. At the end of the trial period you will be prompted to subscribe to continue using the Service. Your data will be retained for 30 days after trial expiry before deletion. No credit card is required to start your free trial.
5. Subscriptions and Payment
SiteLedger Pro is available at AUD $99 per month. Subscriptions are billed monthly in advance. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial months. We will give at least 30 days' written notice before increasing the Subscription Fee. All payments are processed by Stripe. Prices are inclusive of GST where applicable.
6. Acceptable Use
You agree to use the Service only for lawful purposes. You must not: use the Service for any unlawful purpose; upload content that infringes third-party intellectual property rights; attempt to gain unauthorised access to any part of the Service; use automated tools to access the Service without written permission; resell or sublicence the Service without written consent; or upload malware or malicious code.
7. Your Content
You retain ownership of all content you upload (photos, documents, notes, data). By uploading content, you grant us a limited licence to store and process it solely to provide the Service. Upon termination, your content will be retained for 30 days before permanent deletion.
8. Subcontractor Portal
By using the portal feature, you acknowledge you are responsible for the accuracy of information shared, you have obtained necessary consents from subcontractors, and SiteLedger is not responsible for any disputes arising from portal information.
9. Intellectual Property
The Service, including software, design, trademarks, and logos (excluding Your Content), is owned by SiteLedger and protected by Australian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for internal business purposes only.
10. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. We comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. SiteLedger is a management tool and does not provide legal, financial, accounting, or construction advice.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law (ACL) that cannot be excluded.
12. Limitation of Liability
To the maximum extent permitted by law, SiteLedger's total liability for any claim is limited to the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
13. Termination
You may terminate your account at any time by contacting siteledger.support@gmail.com. We may suspend or terminate your account if you breach these Terms or fail to pay subscription fees.
14. Dispute Resolution
If you have a dispute, please contact us first. We will attempt to resolve disputes informally within 30 days. Unresolved disputes will be referred to mediation in Victoria, Australia. These Terms are governed by the laws of Victoria, Australia.
